The following terms and conditions are the Training & Education Network (hereafter referred to as TEN) Membership Agreement. You must read, agree with, and accept all of the terms and conditions contained in these Terms to become a member of TEN.
1. All information furnished by or about a member is confidential, and each member agrees not to furnish this information to any other third parties.
a. Members will not enter or participate in any communications with any member or members of the group on matters prohibited by the antitrust laws, including but not limited to:
i. Agreements stabilizing prices or establishing uniformity of prices now or in the future.
ii. Adherence to price minimums or maximums.
2. The membership of this group will be around 20 qualified businesses. It is best practice that members shall be selected from market areas geographically distributed throughout North America to avoid directly competing members within the same group and to provide a widespread and diverse representation though members in competing markets may be in the same group.
a. Two members may be within competing market areas or be actual, or potential, competitors and be in the same group if they both agree to participate and TEN approves. Members will immediately notify TEN of any potential issues regarding competition within the group. Should two competing members participate in the same group, TEN will notify the other group members.
b. Membership in this group is by invitation only and is not assignable or transferable. The group reserves the right to approve or reject any member in cases of change of ownership or control of their businesses or changes in their businesses that affect competition within the group.
c. To qualify for membership in the group, a member applicant, ("Applicant") must:
i. Be an owner or active member of management of a reputable business within the appropriate industry.
ii. Be in a market of enough volume and be of a size to make comparisons valid.
iii. Provide monthly financial reports by groups on the agreed day of the month.
iv. Regularly attend and contribute in a meaningful manner to the group during their scheduled meetings and other group communication.
3. TEN plus group members are responsible for identifying and/or supplying suggested Applicants for consideration. Applicants of a “New Group” will be selected and supplied by TEN and/or the supporting company or association.
a. Members should not invite an applicant to a member meeting. Instead, the member should refer his/her name and qualifications to TEN for consideration.
4. Members in this group will have the following responsibilities:
a. Attendance - Each member will be expected to regularly attend scheduled member meetings.
i. Founding Members (or members that were paying members of DSP 20 Group before the transition to TEN) are allowed two team members as guests from his or her business.
b. Financial Data - Each member will be required to submit financial and operation data to TEN in the proper form and by the established deadline. Each member will prepare monthly financial statement data in accordance with prescribed guidelines and transmit such data to TEN. Members will follow the reporting requirements agreed upon by the group to ensure consistent application of accounting principles and relevant data. In addition, the development of certain comparative statistics and other metrics will sometimes require information not normally included in standard financial statements. Such information will be supplied to TEN on a supplemental schedule developed and distributed by TEN. To be assured of inclusion in the monthly reports, members must transfer financial data electronically to TEN no later than the 15th of each month.
c. Participation - Each member will be required to make a commitment to actively participate in group activities and discussions and to reply in a timely fashion to periodic surveys performed for the benefit of the group.
d. Fees and Expenses - Each member is required to maintain a current status in relation to payment of fees and expenses.
5. Member Meetings: TEN will coordinate and facilitate up to three (3) Member Meetings per year per group. TEN (with partnership of the host member) will arrange for meeting sites and times as directed by each group including all specific arrangements for meeting rooms, group sponsored events, and blocks of hotel rooms. In addition, TEN will have at least one employee on site to coordinate and facilitate the meeting process (the Facilitator).
a. Member meetings will be approximately (but not limited to) 16 to 20 working hours in length.
b. Group members will select sites and dates for future meetings at least one year in advance giving due consideration to the cost and convenience to the majority members of the group.
c. Attendance at all member meetings is restricted to the member. owners, partners, general or store managers, and accounting personnel (and restricted to no more than three people per company).
i. For Founding Members, attendance at all member meetings is restricted to owners, partners, general or store managers, accounting personnel (and restricted to no more than three people per company), who are regularly selected members, and is the same representative at each meeting.
6. Membership Fee: The automatic recurring fees of $399.00 per month or $3,990.00 per year will be processed via ThriveCart and charged by Stripe. These fees are billed in advance and due at the time of renewal. All charges will cease when a member terminates membership in the manner called for below.
7. Expenses: Members will be responsible for their own travel expenses related to any member meetings coordinated and/or facilitated by TEN. TEN may advance funds from time to time for group social functions and/or other authorized group expenditures related to member meetings and will bill these amounts back to members on a prorated basis. All meeting expenses that are incurred for the collective benefit of the group such as planned social functions, TEN facilitator travel expense, meeting room equipment, and outside speakers will be prorated to all members whether present at the meeting or not.
a. Founding Members are responsible for the direct and prorated expenses of their invited guests.
b. Members should make every effort to attend meetings. Missing two consecutive meetings could trigger a vote among group members to decide whether or not to allow the member to remain part of the group. Each member will be assessed its share of expenses whether the member attends or not, as long as they are a member in good standing.
8. Confidential and Mutual Agreement: TEN and members (collectively the "Parties"¨) mutually acknowledge that confidential information will be shared by and between the Parties and other group members as a necessary part of the TEN group process. Member will make available to TEN certain Confidential Information from the Member that will be disseminated to other Members of the group. TEN agrees to use such Confidential Information subject to and in recognition of the duties and obligations set forth in this Agreement. The Parties understand and agree that Confidential Information, as used herein, shall mean and include any proprietary information specific to the Member and provided to TEN as a result of TEN providing services under this Agreement except that "Confidential Information" shall not be defined to include information or materials that were and/or are generally available to the public. In addition, Member hereby grants consent to TEN to utilize their data, whether it is deemed to be Confidential Information or not, in anonymous forms and in combination with other Members data for generating group statistics such as group averages, industry averages, composite totals, etc. to be shared with third parties.
9. All memberships will renew automatically based on your subscription plan (monthly or annually). Requests for cancellations can be sent to events@10missions.com at least 7 days before your subscription renews. Requests for cancellation must be done in writing. Be aware that cancellations are processed immediately. Member will be responsible for payment of any outstanding amounts due to TEN at the time of termination of the Agreement, regardless of which party terminated the Agreement. TEN reserves the right to suspend services to Member if amounts due become 30 days delinquent. TEN will provide a refund within 14 days of initial purchase. Refund requests for your membership need to be sent in writing to events@10missions.com.
